Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AnyCodeSMS mobile application (package name: com.anycodesms.app) and related services (collectively, “AnyCodeSMS” or the “Service”) provided by Standard Holdings Group LLC, a North Carolina limited liability company (“Company,” “we,” “us,” or “our”).

Please read these Terms carefully before using AnyCodeSMS. By creating an account, downloading or installing the app, or using the Service in any way, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy(collectively, the “Agreement”). If you do not agree to the Agreement, you may not use the Service.

By creating an account or using AnyCodeSMS, you confirm that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, and the Acceptable Use Policy. The Privacy Policy and Acceptable Use Policy are incorporated into these Terms by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to the Agreement, and “you” refers to both you individually and that organization.

To use AnyCodeSMS, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater;
• Be a resident of the United States; and
• Have the legal capacity to enter into a binding contract.

You may not use the Service if you are prohibited from doing so under applicable law, if you have previously been suspended or terminated from the Service, or if we have otherwise restricted your access. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion, subject to applicable law.

Registration

You must create an account to use AnyCodeSMS. You agree to provide accurate, current, and complete registration information and to update that information as needed to keep it accurate and complete.

One Account Per Person

Each individual may maintain only one active AnyCodeSMS account. You may not create multiple accounts to circumvent subscription limits, service restrictions, or enforcement actions.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@anycodesms.com if you suspect unauthorized access to your account or any other security breach.

We are not liable for any loss or damage arising from your failure to safeguard your account credentials or from unauthorized use of your account, except where prohibited by applicable law.

AnyCodeSMS provides a virtual U.S. phone number that allows you to:

• Receive SMS text messages sent to your assigned number; and
• Place and receive voice calls over the internet using Voice over IP (VoIP) technology.

The Service is operated by Standard Holdings Group LLC and is delivered in part through third-party telephony infrastructure providers. We do not operate a traditional mobile carrier network. AnyCodeSMS is a software-based communications service that relies on internet connectivity and third-party telecommunications partners to route messages and calls.

Features, availability, and supported functionality may change over time as we develop and improve the Service.

The following limitations apply to the current version of AnyCodeSMS. By using the Service, you acknowledge and accept these limitations. For full details, see our Service Limitations page.

SMS — Receive Only

Outbound SMS is not available in the current version of AnyCodeSMS. The Service is receive-only for text messages.

OTP and Verification Code Delivery Not Guaranteed

Delivery of one-time passwords (OTPs), two-factor authentication (2FA) codes, and other verification messages depends on carrier and sender behavior and is not guaranteed. Some mobile carriers, shortcode senders, application-to-person (A2P) messaging platforms, and online services do not deliver messages to virtual or VoIP numbers.

Virtual Numbers

Phone numbers are provisioned from available inventory and are virtual numbers. They are not ported from another carrier, are not tied to a physical SIM card, and are not associated with a physical street address.

No Emergency Calling

Emergency calling (including 911, 112, 999, and similar emergency services) is not supported through AnyCodeSMS. You must use a traditional mobile carrier, landline, or other means for any emergency.

Voicemail Retention

Voicemail recordings are automatically deleted after 30 days. Voicemail metadata is retained in accordance with our Privacy Policy.

Internet Dependency

The Service requires an active internet connection. Call quality, message delivery timing, and overall performance depend on your network conditions, device capabilities, and third-party infrastructure.

Not a Primary Phone Line

AnyCodeSMS is not a replacement for a traditional phone carrier and is not suitable as a primary phone line.

Subscriptions

Access to an active phone number and core Service features requires a paid subscription managed through Google Play. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Cancellation

You may cancel your subscription at any time through your Google Play account subscription settings. Cancellation takes effect at the end of the current billing period.

Calling Minutes

Calling minutes are purchased separately as in-app purchases through Google Play. Minute balances, expiration rules, and applicable rates are displayed at the time of purchase.

Refunds

Refunds are handled according to Google Play's refund policies. We do not process payment refunds directly. For billing disputes, contact Google Play support.

Pricing Changes

Subscription pricing, minute pack pricing, and available products may change from time to time. Where required by applicable law or platform policy, we will provide notice of material pricing changes before they take effect.

Taxes

You are responsible for any applicable taxes, duties, or government charges associated with your purchases, except where we are required by law to collect them.

One Number Per Subscription

Each active subscription entitles you to one active phone number at a time.

Number Swaps

You may swap your assigned number for a different available number through the app. Swapped numbers are released and cannot be reclaimed.

Number Release

When you swap your number, delete your account, or allow your subscription to expire, your phone number is released back to inventory and cannot be reclaimed.

Availability

Number availability is not guaranteed. Numbers are assigned from available inventory at the time of request. We do not guarantee specific area codes, prefixes, or number patterns.

Your use of AnyCodeSMS is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy describes prohibited conduct, including unlawful use, spam, harassment, fraud, and other misuse of the Service.

Violation of the Acceptable Use Policy may result in suspension or termination of your account, release of your phone number, loss of calling privileges, or other enforcement actions, with or without notice.

The AnyCodeSMS application, Service, software, design, trademarks, logos, documentation, and all associated intellectual property are owned by Standard Holdings Group LLC or our licensors and are protected by applicable intellectual property laws.

Subject to your compliance with the Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the AnyCodeSMS app on a compatible device for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the app or any part of the Service, except to the extent such restrictions are prohibited by applicable law. All rights not expressly granted to you are reserved by the Company.

Termination by Us

We may suspend or terminate your account, release your phone number, or restrict your access to the Service if we reasonably believe that you have:

• Violated these Terms, the Acceptable Use Policy, or the Privacy Policy;
• Violated applicable law or third-party rights;
• Engaged in fraudulent, abusive, or harmful conduct; or
• Created risk or possible legal exposure for us or other users.

Termination by You

You may delete your account at any time through the app settings or by contacting us at support@anycodesms.com. If you have an active subscription, you must also cancel your subscription through Google Play to avoid future charges.

Effect of Termination

Upon termination for any reason:

• Your right to use the Service immediately ceases;
• Your assigned phone number is released and may be reassigned;
• Your data is handled in accordance with our Privacy Policy; and
• Sections that by their nature should survive termination will survive.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• DEFECTS WILL BE CORRECTED;
• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR
• ANY SMS MESSAGE, VERIFICATION CODE, OTP, OR PHONE CALL WILL BE DELIVERED, RECEIVED, OR COMPLETED.

WE DO NOT GUARANTEE THE DELIVERY OF ANY SPECIFIC SMS MESSAGE, VERIFICATION CODE, OR PHONE CALL. WE ARE NOT RESPONSIBLE FOR ACTIONS TAKEN BY CARRIERS, SENDERS, TELEPHONY PROVIDERS, OR OTHER THIRD PARTIES THAT AFFECT MESSAGE DELIVERY, CALL ROUTING, OR CALL QUALITY.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above disclaimers apply to the fullest extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STANDARD HOLDINGS GROUP LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOST GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless Standard Holdings Group LLC and its members, managers, officers, employees, agents, affiliates, and licensors from and against any claims arising out of or related to:

• Your use of the Service;
• Your violation of these Terms, the Acceptable Use Policy, or the Privacy Policy;
• Your violation of any applicable law or regulation; or
• Your violation of any third party's rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You may not settle any claim in a manner that admits fault or imposes obligations on us without our prior written consent.

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of North Carolina, without regard to its conflict of law principles.

You agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to the Agreement.

Informal Resolution

Before initiating formal dispute proceedings, you agree to first contact us at support@anycodesms.com and attempt to resolve the dispute through good-faith negotiation for at least thirty (30) days.

Binding Arbitration

If informal negotiation does not resolve the dispute, any remaining dispute shall be resolved by binding arbitration administered in North Carolina. The arbitrator's decision shall be final and binding.

Small Claims Court

Either party may bring an individual claim in small claims court in a jurisdiction where the claim qualifies, to the extent permitted by applicable law.

Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

If a court or arbitrator determines that the class action waiver is unenforceable with respect to a particular claim, that claim shall proceed in court rather than in arbitration, and the remainder of this dispute resolution section shall continue to apply.

We may update these Terms from time to time. When we make material changes, we will notify you through the app, by email, or by other reasonable means. Your continued use of the Service after the effective date constitutes your acceptance of the changes.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and the Acceptable Use Policy, constitute the entire agreement between you and Standard Holdings Group LLC regarding AnyCodeSMS and supersede all prior or contemporaneous understandings.

You may not assign or transfer your rights or obligations under the Agreement without our prior written consent. We may assign our rights and obligations without restriction.
